Terms of Service & End User License Agreement

1. Acceptance of Terms

These Terms of Service and End User License Agreement (collectively, the "Terms") form a binding agreement between you ("you" or "User") and Outdoor Estimates ("we," "us," or "Outdoor Estimates") governing your access to and use of our website, applications, APIs, and related services (the "Service"). By creating an account, accessing the Service, or clicking "I agree" (or similar), you accept these Terms in full. If you do not accept these Terms, do not use the Service.

2. Description of the Service

Outdoor Estimates is a software-as-a-service platform built for landscape and hardscape contractors. Features include but are not limited to: AI-assisted job estimating, professional proposal generation, contract creation with electronic signature, invoicing with optional payment acceptance, a 2D/3D landscape design tool, a contractor lead network, and integrations with third-party services such as QuickBooks Online and Stripe.

The Service is provided on an evolving basis. We may add, modify, or remove features at our discretion. Material changes that materially reduce functionality will be communicated to active subscribers in advance where reasonably practicable.

3. Accounts & Eligibility

You must be at least 18 years old and authorized to enter into binding contracts in your jurisdiction to use the Service. When you create an account, you agree to provide accurate and complete information, keep your login credentials confidential, and accept responsibility for all activity that occurs under your account. You must notify us promptly at outdoorestimatesofficial@gmail.com if you become aware of any unauthorized use.

4. License Grant

Subject to your compliance with these Terms and timely payment of all applicable fees, Outdoor Estimates grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes. Nothing in these Terms transfers ownership of any element of the Service to you.

You may not (and may not allow any third party to): (a) reverse-engineer, decompile, or attempt to extract source code from the Service; (b) copy, modify, distribute, sell, lease, or sublicense the Service or any part of it; (c) build a competing product using the Service; (d) remove proprietary notices; or (e) use the Service in any manner that violates applicable law.

5. Subscription, Billing & Refunds

Paid plans are billed on a recurring monthly or annual basis at the prices displayed on our pricing page at the time of purchase. By providing a payment method, you authorize us (and our payment processor, Stripe, Inc.) to charge that method for the subscription fees on a recurring basis until you cancel.

Subscriptions automatically renew at the end of each billing period unless you cancel at least one (1) day before renewal. You may cancel at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period; you retain access through that date.

Except where required by applicable law, all fees are non-refundable. We do not provide refunds for partial billing periods, unused features, or accidental charges that are not promptly disputed. We may, at our sole discretion, issue a refund or credit in cases of demonstrable Service failure.

Lead Network usage is billed separately on a pay-per-lead basis tied to the customer's stated budget. By accepting a lead, you authorize us to charge your card on file for the corresponding lead fee. Charges are final unless a credit is issued through our credit-request process at our sole discretion.

6. Free Trial

We may offer a free trial period (currently seven days) to new accounts. You agree that the trial period is provided as-is, that we may end or modify the trial at any time, and that at the end of the trial your account will convert to a paid subscription unless you cancel before the trial expires.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right;
• Send unsolicited commercial communications (spam) using addresses or phone numbers obtained through the Service;
• Upload or transmit viruses, malware, or other harmful code;
• Probe, scan, or test the vulnerability of the Service or attempt to bypass its security mechanisms;
• Misrepresent your identity, business, or qualifications;
• Impersonate another contractor, customer, or homeowner;
• Submit false leads or fraudulently claim Lead Network credits;
• Use automated tools to scrape, mirror, or copy any portion of the Service;
• Resell, sublicense, or grant access to the Service to third parties not authorized under your account.

8. Your Content

"Your Content" means the data and materials you submit to the Service — including business profile information, customer details, project descriptions, photos, designs, estimates, contracts, and invoices. You retain ownership of Your Content.

You grant Outdoor Estimates a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and create derivative works of Your Content solely as necessary to operate, secure, improve, and provide the Service to you. We may share Your Content with third-party service providers (such as our cloud hosting provider, AI providers, payment processor, and email delivery provider) under confidentiality obligations consistent with these Terms.

You represent and warrant that you have all rights necessary to submit Your Content and grant the above license, and that Your Content does not infringe any third-party right or violate any law.

If you opt in to having a project featured on our blog or social channels, you grant us an additional non-exclusive license to publicly display the photos and project details you submit, with attribution where you provide it.

9. Lead Network

The Lead Network is an optional feature that matches homeowners requesting outdoor work with approved contractors in their service area. By participating you acknowledge:

• Lead matching is automatic, based on the homeowner's zip code and your declared service area. We do not guarantee lead volume, lead quality, conversion rates, or revenue.
• Each lead you accept is billed to the card on file at a rate tied to the homeowner's stated budget, up to a published maximum. The fee is disclosed on the Accept button before charging.
• Homeowners' personal information (name, phone, email, address) is your responsibility once revealed to you. You agree to use it only to follow up on the lead and otherwise to comply with all applicable laws including telemarketing, email, and data-privacy laws.
• Approved credits may be applied to future unaccepted leads. Credits have no cash value and expire if your account is closed.
• We reserve the right to remove a contractor from the Lead Network for repeated complaints, unprofessional conduct, or fraudulent credit requests.

10. Third-Party Services

The Service integrates with or relies on services provided by third parties, including but not limited to: Stripe (payment processing), Intuit / QuickBooks Online (accounting integration), Google Firebase (hosting and database), Anthropic and OpenAI (AI processing), Resend (email delivery), and OpenStreetMap / Nominatim (geocoding). Your use of these third-party services through the Service is subject to their respective terms and policies. We are not responsible for the content, accuracy, or availability of third-party services.

11. AI-Generated Output

Portions of the Service produce output using third-party large language models and image-generation models. AI-generated material breakdowns, narrative proposals, contracts, and visualizations are provided as a starting point and may be inaccurate, incomplete, or unsuitable for your specific job. You are responsible for reviewing and editing all AI-generated output before relying on it, presenting it to a customer, or using it for any business decision. Outdoor Estimates makes no representation that AI-generated output is accurate, fit for a particular purpose, or free from error.

12. Intellectual Property

The Service, including its software, design, branding, text, graphics, and trademarks, is the property of Outdoor Estimates and is protected by copyright, trademark, and other laws. Except for the limited license granted in Section 4, no rights in the Service are transferred to you. You may not use the "Outdoor Estimates" name or marks without our prior written consent.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OUTDOOR ESTIMATES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF ESTIMATING OR DESIGN OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL NOT BE LOST.

Outdoor Estimates is not an accountant, attorney, surveyor, engineer, or licensed contractor. Estimates and proposals generated by the Service are not professional engineering, legal, or financial advice. You are solely responsible for the accuracy of any estimate, contract, invoice, or design produced through the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTDOOR ESTIMATES, ITS AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Outdoor Estimates and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual-property or privacy right.

16. Termination

You may terminate your account at any time through account settings. We may suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users. On termination, your license under Section 4 ends and we may delete Your Content after a reasonable retention period unless required to retain it by law.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be communicated through the Service or by email to the address on file. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to the personal jurisdiction of those courts.
